Company Secretarial Team of the Bank’s Company Secretarial Services Department advises the Boards of Directors of Group companies on company secretarial and corporate governance matters and provides company secretarial support to the Board, Board Committees, Non-Executive Directors, and Senior Management of Group companies in alignment with the Group’s corporate governance framework.
In general, the Team apply professional knowledge and expertise in providing efficient corporate governance advice to Group entities, and ensure compliance by Group entities with their Articles of Association and the applicable statutory and regulatory requirements.
We are currently seeking a high caliber professional to join the Company Secretarial Team of our department as a Company Secretarial Manager. At the same time, candidate with good potential and mindset despite less experience may be offered the position of Assistant Company Secretarial Manager.
Principal responsibilities:
  • Handle company secretarial and corporate governance matters and provide company secretarial support to the Board, its Committees, Non-Executive Directors, and Senior Management of Group companies in alignment with the Group’s corporate governance framework
  • Ensure the Group’s maintenance of correct and up-to-date Registers required by the applicable statutory and regulatory requirements
  • Monitor changes in regulations/laws/Listing Rules insofar as the same relate to company secretarial and corporate governance and devising action plans for compliance
  • Participate in the preparation of interim/annual results materials, ad hoc announcements and circulars which are required by the Listing Rules
  • Ensure correct and timely filings with regulatory bodies
  • Assist in organising and collate accurate and precise information for meetings of shareholders, Board and Board committees
  • Deal with general correspondences, including correspondences with share registrar and relevant regulatory bodies, such as the Stock Exchange, Insurance Authority and Companies Registry
Requirements:
University degree in Business Management, Company Secretaries or the relevant subjects Associate member of The Hong Kong Institute of Chartered Secretaries 5 to 10 years of post-qualification experience in company secretarial field Previous working experience from a bank or insurance company is an advantage but not mandatory Strong inter-personal communication and analytical skills with fluency in both English and Chinese High level of ownership and servicing mindset with dedication to delivering exceptional service quality and strong capability to think out of the box Good knowledge of computer applications, including MS Excel and Word
